By accessing or using NexCoach ("Service", "Platform", "we", "us", or "our"), you ("User", "Coach", "Trainer", or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Platform, including fitness coaches, personal trainers, nutritionists, dietitians, and their respective clients who access the Platform through a coach's account. We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

NexCoach is an AI-powered coaching and client management platform designed for fitness professionals and nutritionists. Our services include: • AI Meal Builder — Automated, personalized meal plan generation based on client goals, allergies, and dietary preferences. • AI Diet Builder — Structured diet planning tools with macro tracking and nutrition analysis. • AI Exercise Builder — Intelligent workout program generation with progressive overload logic. • Client Management (CRM) — Tools to manage client profiles, session notes, plan assignments, and communication. • Analytics & Tracking — Progress dashboards, adherence tracking, body composition trends, and performance insights. • Smart Macro Fetching — AI-powered food macro lookup and custom food entry tools. The Service is intended for professional use by qualified fitness and nutrition coaches and is not a substitute for medical advice or treatment.

To access the full features of NexCoach, you must create an account. By registering, you agree to: • Provide accurate, current, and complete information during registration. • Maintain and promptly update your account information. • Keep your password secure and confidential. • Be responsible for all activities that occur under your account. • Notify us immediately of any unauthorized use of your account. You must be at least 18 years of age to create an account. Accounts may not be shared between multiple coaches or businesses without an appropriate multi-seat plan. We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or engage in fraudulent activity.

NexCoach offers subscription-based access plans. By subscribing, you agree to the following: Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are in USD unless otherwise specified. Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a subscription period. Refunds: We offer a 7-day money-back guarantee for first-time subscribers. After this period, all payments are non-refundable except where required by law. Price Changes: We reserve the right to change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing. Taxes: You are responsible for all applicable taxes associated with your subscription.

You agree to use NexCoach only for lawful purposes and in a manner consistent with these Terms. You must not: • Provide false, misleading, or inaccurate information about yourself or your clients. • Use the Platform to provide medical diagnoses or replace professional medical advice. • Share, resell, or sublicense access to the Platform without our written consent. • Attempt to reverse-engineer, decompile, or extract source code from the Platform. • Use automated bots, scrapers, or scripts to access the Platform without authorization. • Transmit viruses, malware, or any harmful code through the Platform. • Harass, threaten, or harm any other user or third party through the Platform. • Violate any applicable local, national, or international law or regulation. • Use the AI features to generate content that is harmful, discriminatory, or illegal. Violations of this policy may result in immediate account suspension or termination without refund.

As a coach using NexCoach, you are the data controller for your clients' personal information. You agree to: • Obtain proper consent from your clients before entering their personal data into the Platform. • Inform your clients about how their data is stored and processed through NexCoach. • Comply with all applicable data protection laws (including GDPR where applicable) regarding your clients' data. • Not enter sensitive health data (e.g., medical diagnoses, medications) unless you are a licensed professional authorized to handle such data. NexCoach acts as a data processor for client data entered by coaches. See our Privacy Policy for details on how we handle data. You are solely responsible for the accuracy of client information you enter, the appropriateness of meal and workout plans generated using our AI tools, and the professional advice you provide to your clients.

NexCoach uses artificial intelligence to generate meal plans, workout programs, macro data, and other coaching content. By using our AI features, you acknowledge: • AI-Generated Content: All AI-generated meal plans, diet plans, and workout programs are suggestions only. They must be reviewed and approved by a qualified professional before being assigned to clients. • Not Medical Advice: AI outputs do not constitute medical, dietary, or clinical advice. Always consult appropriate healthcare professionals for clients with medical conditions. • Accuracy: While we strive for accuracy, AI-generated macro data and food information may not always be complete or perfectly accurate. You should verify critical nutritional information independently. • Intellectual Property: AI-generated content produced using our tools may be used for your professional coaching purposes. We do not claim ownership of content you create using the Platform. • Evolving Technology: AI features are continuously improving. Outputs may change over time as our models are updated.

NexCoach Platform: The Platform, including its design, code, AI models, branding, and documentation, is owned by NexCoach and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our express written permission. Your Content: You retain ownership of all content you create using the Platform, including client plans, notes, and custom configurations. By using the Platform, you grant NexCoach a limited license to process and store this content solely to provide the Service. Feedback: Any feedback, suggestions, or ideas you provide regarding the Platform may be used by NexCoach to improve the Service without compensation or attribution to you. Trademarks: "NexCoach" and associated logos are trademarks of NexCoach. You may not use these marks without prior written consent.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that: • The Service will be uninterrupted, error-free, or completely secure. • AI-generated content will be accurate, complete, or suitable for any specific client. • The Service will meet your specific professional requirements. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXCOACH SHALL NOT BE LIABLE FOR: • Any indirect, incidental, special, consequential, or punitive damages. • Loss of profits, data, goodwill, or business opportunities. • Damages resulting from reliance on AI-generated content without professional review. • Any harm caused to clients as a result of plans generated using our Platform. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid to NexCoach in the 12 months preceding the claim.

Either party may terminate the relationship at any time: By You: You may cancel your subscription and delete your account at any time through account settings. Your access will continue until the end of the current billing period. By Us: We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees, or if we discontinue the Service. Effect of Termination: Upon termination, your right to access the Platform ceases. You may request an export of your data within 30 days of termination. After this period, we may delete your account data in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Dispute Resolution: Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration. Class Action Waiver: You agree to resolve disputes with NexCoach on an individual basis and not as part of any class action or collective proceeding. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
